ABSTRACTThis course focuses on party autonomy in the context of the applicable law issued in international commercial contracts. It goes through explaining the Hague Principles on Choice of Law in International Commercial Contracts, finalized in 2013, and how they are used as a recent source on the matter. This reflection leads to the question of the most attractive national contract law, as well as the selected dispute resolution mechanism. The subject of the designation of other law than national law as the law governing the contract is treated while sketching how different laws are compatible with the Hague principles and what changes they bring. Finally, other sources of private international law, Contracts for International Sale of Goods (CISG), Common European Sales Law (CESL), and UNIDROIT principles, are looked upon.
RÉSUMÉCe cours se concentre sur l'autonomie des parties dans le contexte de la loi applicable dans les contrats commerciaux internationaux. Il explique les principes de La Haye, finalisé en 2013, sur le choix de la loi applicable dans les contrats commerciaux internationaux, et comment ils sont utilisés comme source récente en la matière. Cette réflexion conduit à la question du droit national des contrats le plus attractif, ainsi que du mécanisme de règlement des différends choisi. Le sujet de la désignation d'une loi autre que la loi nationale comme loi régissant le contrat est traité tout en esquissant comment les différentes lois sont compatibles avec les principes de La Haye et quels changements elles apportent. Enfin, d'autres sources de droit international privé, les contrats de vente internationale de marchandises (CVIM), le droit européen commun des ventes (CESL) et les principes d'UNIDROIT, sont examinés.
